These Terms and Conditions ("Terms") govern your access to and use of the orbative.systems website (the "Site") and any products or services provided by Orbative Systems Ltd ("we", "us", or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

You may use the Site for lawful purposes only. You agree not to use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site.

You agree not to:

• Use the Site in violation of any applicable law or regulation

• Attempt to gain unauthorised access to any part of the Site, our systems, or data

• Introduce viruses, malware, or other harmful code

• Scrape, copy, or reproduce Site content without our prior written permission

• Use automated systems or bots to interact with the Site without our consent

Orbative is a manufacturing resource planning (MRP) software product, complemented by compatible hardware including barcode scanners, label printers, and related accessories. Some products and services are currently in development and are advertised on the Site as "Coming Soon".

Information about products, pricing, features, and availability is provided for informational purposes and may be updated or changed at any time without notice. We do not guarantee that any product currently listed as Coming Soon will be made available on the stated timeline or at the listed price.

When products become available for purchase, additional terms specific to those products or services may apply and will be presented to you at the point of purchase.

The Site allows you to register your interest in our products and services by submitting a form with your contact details. Submitting a registration of interest does not constitute a binding order, contract, or commitment to purchase.

By registering your interest, you consent to us contacting you with information about product availability, pricing, and updates. You may opt out of these communications at any time.

When products are available for purchase, orders placed through the Site are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.

Payments are processed securely through Stripe, our third-party payment provider. We do not store your full card or payment details. By making a purchase, you agree to Stripe's terms and conditions, which are available at stripe.com/legal.

Prices are displayed on the Site at the time of order and are subject to applicable taxes and shipping costs where relevant. We may correct errors in pricing or product information at any time before acceptance of your order.

Where you purchase a subscription to our software, your subscription will continue for the billing period you have selected (monthly or annually) and will renew automatically unless cancelled in accordance with the cancellation terms provided at the point of purchase.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. Refund eligibility is determined at the point of purchase and in accordance with our refund policy.

Hardware products sold through the Site are subject to availability. Installation options may be offered as self-installation or professional engineer installation. Where engineer installation is selected, scheduling is subject to availability and may be arranged separately after purchase.

Hardware is warranted against defects in materials and workmanship for a period specified at the point of purchase. This warranty does not cover damage caused by misuse, neglect, unauthorised modifications, or normal wear and tear.

All content on the Site, including text, graphics, logos, images, software, and design elements, is the property of Orbative Systems Ltd or its licensors and is protected by UK and international intellectual property laws.

You may view and use the Site for your personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

Orbative, Orbative Systems, and associated names and logos are trademarks of Orbative Systems Ltd. All other trademarks are the property of their respective owners.

The Site and its content are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or availability of the Site or the information, products, or services contained on it.

To the maximum extent permitted by law, we exclude all liability for any loss or damage arising from your use of, or reliance on, the Site or its content.

To the maximum extent permitted by applicable law, Orbative Systems Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising out of or in connection with your use of the Site or any products or services purchased through it.

Our total aggregate liability for any claim arising out of or in connection with these Terms or your use of the Site shall not exceed the amount you have paid us for the product or service giving rise to the claim, or £100, whichever is greater.

The Site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that we are not liable for any loss or damage caused by your use of any third-party website.

You agree to indemnify and hold harmless Orbative Systems Ltd and its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or in connection with your use of the Site or your violation of these Terms.

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated revision date. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
